Initial thoughts, raising Employer's NI and increasing the minimum wage rates will have an effect on jobs for lower skilled workers, pushing more jobs into automation and making employers think twice about adding to the work force. The market will in the end determine the value of labour (no pun intended)! IHT on pensions where an income tax charge can also be levied seems punitive. Many will need to address their estate plans as a result of this. A failure to grandfather excluded property trusts from the non-dom replacement FIG regime will only exacerbate the exit of internationally mobile Ultra High Net Worth Individuals motivated by tax. The decision to limit Business Property Relief may seem targeted but will have a deep effect on family businesses. The decision to limit Agricultural Property Relief shows how we have a short memory. Farms feed the population and we need to support food production in the UK and those involved in it. Still it could be worse, but we now know action will be required before April 2025. I still think that a consumption solution such as adding 2p to VAT would have been a better way of raising funds. The fact that different rates could allow targeted consumers and ease of collection make more sense than adopting methods which may not have the effects that RR expects or wants. But at least you can still have an electric company car if you want one! The 'Right to Switch off' is being considered by government ministers who have indicated that they are considering a code of practice on the right. It is thought that the code would work in a similar way as the ACAS code of practice on disciplinary and grievance procedures. In considering the best approach, ministers are also reviewing policies adopted by other countries such as Ireland and Belgium which both provide a right to disconnect. Earlier this week, the #SupremeCourt handed down an important judgment on the accessory liability of company #directors for torts of the company. While the case concerned an intellectual property tort, the decision is of much wider significance. The Supreme Court drew a distinction between directors' liability for a company's contractual breaches (in which the directors' liability turns on whether they have committed the separate tort of inducing a breach of contract by the company) and directors' liability for the company's torts (where the directors' liability, if any, is for the primary tort jointly with the company, not for an independent tort of procuring the primary tort). A director may be liable jointly for the company's tort if the director knowingly procures the company's tort. Knowledge here means the director's knowledge of the essential acts which make the company's act unlawful. The distinction matters. Take a different context. Companies routinely make representations in the context of a company's borrowing, which often repeat throughout the lifetime of the financing arrangement. If those representations are inaccurate, the lender might consider a claim for breach of contract and a separate claim in torts arising from misrepresentations or misstatements. Now, will the lender consider joining the directors as defendants to the tort claim against the company, in circumstances where directors acting bona fide within the scope of their authority will not have any accessory or independent liability in relation to lender's breach of contract claim (known as the rule in Said v Butt)? We will have to wait and see. Richard Mendoza and Ryhan Uddin analyse the decision in more detail below.
