#Hargreaves_Lansdown Hargreaves Lansdown backed the £5.4 billion bid for the FTSE 100 fund manager today from a private equity consortium, a deal that will end its time as a listed company. The Bristol-based finance firm has been listed in London since 2007. It said today that the final offer valued its shares at 1140p in cash and would include a 30p per share dividend for the financial year which ended on 30 June. Compared to the Hargreaves Lansdown share price before the approach was first made in April, the price is at a premium of over 54%. The consortium is made up of CVC, Nordic Capital and ADIA. Hargreaves Lansdown is named after its founders – Peter Hargreaves and Stephen Lansdown – who set it up as an investment tip sheet. Marks and Spencer has seen a remarkable transformation since Stuart Machin took over as CEO. But there's one change I’d love to see... Once a beloved British institution, M&S endured two decades of decline, but its seen a dramatic turnaround over the past two years. Their Food Hall has always been known for quality, but they've recently made a strong shift towards sustainable packaging, replacing plastic with paper/cardboard for products like rice (why does rice and pasta need to be wrapped in plastic??) They even have a policy where office-based staff spend at least one week each year working on the shop floor to understand their customers better. The biggest surprise, however, has been their clothing range, now appealing to men in their 20s and 30s (great-fitting, affordable corduroy chinos and cashmere btw guys!) This year, M&S posted its highest profits in almost 30 years! No surprise given the changes we’ve seen. But here’s my one request: Stuart Machin would you consider making M&S the first major retailer to offer mineral water exclusively in glass bottles, with a reward system for customers who return or recycle them? For those of us trying to reduce plastic waste and avoid microplastics, we need better alternatives for bottled water. P.S. Really enjoyed being on the panel at Private Equity Insights conference in London last week discussing best sectors for Private Equity going forward. PE investments are long term and it’s important for PE to invest in sectors with long term positive trends. Operational improvement is key for PE managers to deliver best returns and hence specialization is a key trend we can observe in the industry. With the two-pot pension system set to go live on the 1st of September, in my latest column for Business Day, I look its basic structure, functions and rational - in light of behavioural heuristics in the pension space. I further consider its impact from an economic, individual and investment strategy perspective. 🎬 Great webinar yesterday on The Rebirth of Industrial Policy (I'll post the link to the recording in the comments when it's available). Oliver Jones and Megan Glover did a superb job discussing a hugely important theme. 💲💲💲 New industrial policies are directing trillions of dollars of capital. That presents opportunities and risks that investors like us must stay on top of developments. 👁 Industrial policy's failings and successes are often misrepresented so it’s important to apply a critical eye, learning from a rich history. 🌎 Alexander Hamilton, of catchy musical fame, wrote an 80-plus page dossier on industrial policy in 1791. 233 years of scholarship since his paper was published has, remarkably, confirmed his early observations: that policy that supports dominant players in already established industries is a zero-sum gain at best (probably much worse) particularly if it involves protectionism. 📈 But policies that help new industries evolve, particularly if they subsidise productive research and development, can be a positive-sum game. ↪ When we select companies for your portfolios we’re looking for firms with a track record of making highly productive investments, improving their earnings resilience by developing new ways of working or the products of tomorrow. 📣 Private Equity Reporting Guidelines Refresh   The #privateequity industry is growing in scale and importance. With over £20bn invested in UK portfolio companies in 2023 and supporting 2.2 million jobs, private capital is a key partner for economic growth.   Today, the British Private Equity & Venture Capital Association (BVCA) and Private Equity Reporting Group (PERG) who monitor and implement the Walker Guidelines, launches its consultation to refresh the Walker Guidelines for transparency and disclosure in private equity.   Unique to the UK, the Walker Guidelines demonstrate the industry’s commitment to transparency. To ensure disclosures match the importance of #privatemarkets, the consultation aims to: ✔️ Review both the scope and requirements of the Walker Guidelines to ensure that original objectives are still being achieved - since its last refresh in 2022. 🎯 Introduce refreshed reporting requirements that continue to be comparable to those of the FTSE 250. 📖 Publish final amended guidelines alongside the annual reports in January 2025. Yesterday I went to the LSE to hear Alex Edmans, Professor of Finance at London Business School, talk about his excellent new book May Contain Lies (How stories, statistics and studies exploit our biases — and what we can do about it). A timely message on why misinformation is a problem that impacts us all and why we often fall foul. Returning to the building where a few years ago I chewed my pencil navigating a masters in behavioural science was a nostalgic pleasure, especially when followed by a couple of pints at the George IV. It was in these lecture theatres and bars that many assumptions were challenged, and different views aired. A curiosity fuelled to test alternative explanations. Last night’s event was hosted by the Financial Markets Group, a leading centre of research into the stability of finance and the sources of systemic risk. And so as Alex talked about unconscious bias, groupthink and of the deceptive quest for evidence and statistics to prove our own point I couldn’t help but think of the banks, regulators and industry bodies who continue to look at the risk landscape in the same limited way. And how this can imperil their own resilience, performance and future, and from there the stability of the wider financial system. Amid the comforting balm of homo economicus, of linear cause and effect, simplistic measurement, incentives and sanction.
