I often encounter prospective customers in proverbial "hair on fire" situations. Exciting Update for Businesses in China! As of October 1, 2024, new guidelines on Stamp Duty Policy for Corporate Restructuring and Institutional Reform will clarify the stamp duty treatments applicable to dutiable items until December 31, 2027. Key provisions include requirements for companies formed through restructuring to pay stamp duty on incremental paid-in capital, with some exemptions for debt-to-equity conversions under State Council-approved schemes. Notably, property transfer deeds related to organizational changes, mergers, and administrative adjustments directed by government departments will be exempt from stamp duty, as will internal reallocations within investment groups. These provisions aim to support companies in their restructuring efforts by reducing compliance costs and providing specific exemptions. There is perhaps a small logical theory that pertains to introduction of equalisation levy in Finance Act and not in Income Tax Act. Agreed that inception of EL goes back to 2016, but why its rationale been a part of finance act only has went unnoticed ? Why government has put in place recent developments in EL ? Government could have changed the Income tax act and introduced EL in the act but that changes would not benefit the government unless it had re-negotiated its DTAA with other countries. DTAA and Income tax act, applicability of both are seen in case of international transactions. Indian government can not tax a transaction without giving effect to DTAA. It would not be possible to collect taxes on digital advertisements if EL was introduced in the income tax act. BQKD v FC of T - The AAT has determined that FBT is not applicable to luxury cars provided to its directors. By way of background - the company, acting as the corporate trustee of a discretionary family trust, was managed by three brothers who were also its directors and beneficiaries. The brothers played an active role in the management of the trust's extensive business operations but without formal employment contracts. They bought luxury cars in the company name for their use. The key questions the AAT had to answer were: 1 - Were the directors employees of the company for FBT purposes? 2 - If they were employees, were the benefits (luxury vehicles) provided in respect of their employment? The AAT distinguished between the benefits applied to directors and beneficiaries vs benefits applied in respect of employment. One of these distinguishing factors was that there was no employment agreement or similar reference to them conducting their role in an employment like manner. The member went even further to say that even if they were considered employees - such benefits had no connection to employment and were given to them as directors of the company or beneficiaries of the trust. The taxpayer relied on J&G Knowles & Associates Pty Ltd v FC of T to which the AAT agreed applied in this instance. An important decision for practitioners who have clients in family business and how something as simple as an employment agreement can be the difference of being caught in the FBT net.
