POSITION PURPOSE The Corporate Attorney provides legal support to SSAB Americas by working with corporate and operating personnel from each company/facility comprising SSAB Americas, and from time to time, the corporate headquarters in Stockholm, Sweden.
The Corporate Attorney will focus primarily on the following areas: employment law, environmental health and safety (EHS) law, immigration matters, compliance with applicable privacy laws and corporate governance.
The Corporate Attorney will provide thoughtful, practical, innovative and timely advice to the General Counsel, Assistant General Counsel and senior management on the above areas of law and other areas of law, as needed.
The Corporate Attorney will also identify and anticipate opportunities and challenges and develop practical solutions that mitigate potential risks to the Company.
PRINCIPAL ACTIVITIES Human Resources • Provide day-to-day proactive employment law advice, assistance and counseling; assist with employment law litigation matters; respond to EEOC complaints and Department of Labor investigations; negotiate and draft contracts with relevant vendors, including health and benefit providers.
EHS • Provide support and timely advice on a wide range of federal, state and local environmental, health and safety (EHS) legal issues including ensuring compliance with OSHA, EPA and other legislation and regulations applicable to the Company’s operations.
Subsidiary Management • Supervise Corporate Paralegal with management of registrations and filings for corporate subsidiaries forming part of SSAB Americas.
Immigration • Assist in the drafting of non-immigrant and immigrant visa petitions and applications and responses to Requests for Additional Evidence.
Research • Research legal issues that arise out of the matters described above.
Corporate Governance • The Corporate Attorney will assist the General Counsel and Assistant General Counsel with corporate governance initiatives as required from time to time, including providing in-house training to personnel throughout SSAB Americas.
Legal Page/Content on SSAB Intranet • Work with General Counsel, Assistant General Counsel, Corporate Paralegal and representatives from Communications to populate and maintain key legal information on SSAB Americas intranet and SharePoint sites.
Due Diligence • Assist with the due diligence analysis of potential business partners, including due diligence related to sanctions screening of potential customers and suppliers.
Policy Initiatives • Assist with the drafting and revising of policies ranging from policies covering FCPA/Anti-corruption requirements to privacy law compliance.
Administrative Initiatives • Assist with administrative initiatives, including matters related to file maintenance and document retention.
ADDITIONAL ACTIVITIES • Research, stay up to date and evaluate different risk factors regarding business decisions and operations.
• Apply effective risk management techniques and offer proactive advice on possible legal issues.
• Negotiate and draft agreements, contracts and other legal documents to ensure the company’s full legal rights.
EDUCATION, EXPERIENCE, CERTIFICATION, LICENSES KNOWLEDGE AND SKILLS REQUIRED • The Corporate Attorney shall possess an LLB or JD from an accredited law school and at least five years’ experience in a major law firm or as part of the legal department of a global company.
• The Corporate Attorney shall be a member in good standing of at least one state bar, preferably Alabama.
The proven ability to work both independently with limited supervision, and when necessary, together with others as part of a team or group, is required.
• In addition, the Corporate Attorney shall possess the following skills and knowledge: • Excellent analytical research skills, including the ability to analyze policies, procedures, and interpret case and statutory laws.
• Ability to manage and direct compliance with company policy and procedures.
• Ability to effectively communicate, both verbally and in written form.
• Ability to manage a large volume of time-sensitive work.
• Strong work ethic, self-motivation, teamwork and dedication.
• Demonstrate a commitment to SSAB core values.
• Computer skills (Microsoft, Excel and Outlook).
• The ability to work closely with internal business clients, technical subject matter experts, other in-house counsel, and outside law firms to facilitate effective solutions.
