Deepinder Goyal knew exactly what he had to do to improve Blinkit’s unit economics. 2022 - Zomato's share falls over 20% after the Blinkit acquisition. 2024 - Blinkit is worth over $13bn, surpassing Zomato, per Analysts. Deepinder bought it for a $568 million all-stock deal purchase in a fire sale, which led to x22 implied market cap growth in < 24 months, that is crazy! I remember back when one of his employees had questioned this decision of Blinkit acquisition, he told him, “It's my job to make bad decisions but your job to make them right”. Zepto raised $665 million at a $3.6B valuation! Blinkit, which was sold at $568m in a perceived fire sale to Zomato is now valued at $13bn, more valuable than Zomato itself. In a market where convenience is the game's name, quick commerce startups have transformed the delivery landscape. Zepto and Blinkit show promise, while Dunzo faces challenges. Meanwhile Instamart (Swiggy), and bigbasket.com (Tata Group) leverage their parent companies to stay competitive. Being involved in Blinkit's merger with Zomato at KPMG in 2022, I've seen firsthand the transformative shift in business models from scheduled/next-day delivery to 15 minute quick commerce. Let me unpack Quick Commerce for you: 📦 Cost, Convenience, Quality, Choice are the 4 core consumer preferences. 15 min delivery is a result of shift in preference from cost to convenience. The future of quick commerce will be fulfilling each consumer's needs differently. 🛒 Planned purchases give way for unplanned/ impulsive buys by GenZ/ Millennials. GenZs have taught their moms to use Zepto. 📍 Business Model shift: Dense dark store networks, replaces fragmented drop points. The dark store count of the giants are: Blinkit (~526), Instamart (~500), Zepto (~250). 🔍 Evaluating key performance and profitability metrics: GMV = customers * order frequency * items in basket * average selling price/item. Revenue = Delivery fees + trading margins + advertising fee. 📉 Business model shift from e-commerce to quick commerce saw a drop in average order value from rs 2000-2500 to rs 600-800 while order frequency increased from 1-2 to 4-5. However, consumers wallets are increasing as they get hooked to speed. 💸 Path to profitability: Initially free deliveries/ discounts cautiously turned into not just delivery fee but also minimum cart fee, rain fee and all kinds of fees. 💡 Cost of convenience : Dark store lease rentals, operational costs puts pressure on the quick commerce P&L. Optimal utilisations and rationalising non-performing dark stores will be key for path to profitability. 🚚 Delivery cost efficiency: Deliveries are made via in-house and third-party fleets. For approx ~5 Cr Unique Investors in Mutual Funds (19 Cr Individual + HNI Folios) and a higher number of direct equity investors, guess how many RIAs (Registered Investment advisors), certified by SEBI, exist to provide unbiased, qualified advise to investors on their financial planning:   A grand total of 975 (approx)!!   That is 1 advisor for every 51,282 individual customers!   In the traditional banking model, there is typically 1 RM (for each Bank) for every 25 to 500 customers depending on Customer segment, AUM, activity, account type etc.   That gives you a sense on the gap in the industry. So, most of the customers depend on themselves, their social/professional circles for advise (usually half baked), advertisements, or distributors (goals of distributors not necessarily aligned with investors. The best distributors though would/should act like advisors in customers interest - but they may be few and far in between)   With that context, SEBI's new consultation paper on the subject and hte proposals in that, I believe, mark a significant step forward in the regulation of RIAs & RAs to really expand the base and hopefully make the field more attractive.   A few highlights: 1/ The base certification of NISM XA and XB for RIAs was to be renewed every 3 years creating business uncertainty for such RIAs. It is proposed to have these only initially and only incremental changes to be tested/certified later. 2. Reducing the minimum qualification from post-graduation to graduation degree 3. Experience requriement - reduced from 5 years to no prior experience 4. Net worth requirement of 5L/50L (individual/non individual RIA) to be replaced by lien marked deposit ranging from 1L to 10L 5. Part time Investment advisors concept (for e.g., there are > 4 Lakh CA's in the country. Hopefully, a significant number of such professionals can find this concept attractive) 6. Bringing a bit more flexibility in fee mode changes for RIAs 7. Increasing the limit on number of clients that an individual RIA can manage 8. 🚀 Swiggy IPO is providing 30X type of return to many VCs. And media is going gaga over it. A 30X return in 9-10 years is 40-45% IRR which is very impressive. Now look at it another way ----If I set up a VC fund with an expectation of 25% IRR over a 10-year fund, then the final value needs to be 9-10X for the entire fund. And I will not invest more than 10% in one deal typically. Let’s look at numbers: 1️⃣ Total fund size - 100 rupees 2️⃣ Required final value @25% IRR - 930 rupees 3️⃣ Swiggy - 10% or 10 rupees 4️⃣ Swiggy exit value - 300 rupees 💰 I still need the balance 90% or 90 rupees to deliver 630 rupees. This is not easy at all. Knowing most of the investments in startups will fail, I still need 2 more Swiggy's in the portfolio to be an average performer. 📊 On top of that, there are several small-cap mutual funds that are giving 25% return over several years. Comet, an Indian sneaker D2C brand, recently raised $5M in its series A round led by Elevation Capital, a top Indian VC. It’s not a big Series A round for #India, but it’s an interesting choice. India already has scores of new and old sneaker brands. At this exact moment, I’m wearing a pair from another sneaker startup, Neeman’s. It’s a decent product for the price, yet I wonder what’s the differentiation. Price could be one differentiating factor, but we’ve sneakers in every price category. Price can also not be a differentiating factor in the long run. With scale, most consumer #startups bring their cogs (cost of goods sold) down with the economies of scale. If you’re an Indian VC, why would you invest in a sneaker brand with no discernible product differentiation? 1. It’s a growing market. Sneaker sales are exploding in India. There’s space for dozens of good brands selling different products. Sneakerheads are cool now. It wasn’t so 10 years ago. Now, we have sneaker trading platforms. My friends are sneaker collectors. So, there’s a product for everyone – sports, casual, functional, designer, recycled, streetwear, dress, etc. You think of it, and there’s a sneaker company that espouses those values. 2. VCs love brands with strong customer loyalty. Indian Millennials and GenZ are more aspirational and brand loyal than their parents. Their identities are linked to what they wear or consume. This linkage of self-identity with brands is a great development for consumer brands. Vegans want to wear vegan sneakers while rap enthusiasts like streetwear. This has been a trend in the USA and Europe for decades. Now, it’s also caught up in India. 3. For consumer VCs, traction (revenue growth, repeat orders, organic sales, return on ad spends, etc) is paramount. Any brand with excellent traction has a good chance of raising #venturecapital. While I don’t know the traction of Comet, I’m sure it’s impressive for it to raise $5M in today’s market. They are building something people want. Their product and brand ethos must be appealing to their users. Finally, we have got the product quality. Comet falls into the mass premium category. Its sneakers are between ₹2,500 to ₹5,000. This puts it a notch above Neeman’s. Comet sells through its website. I couldn’t find its shoes on marketplaces. To sell sneakers at this price for a young D2C brand in India is commendable. Its success lies in its brand positioning and marketing. It’s a brand that resonates with its customers. It’s a good start. P.S. My Biggest lesson in behavioural finance ✅ Zomato has Definitely been a promising story. A great turnaround however it’s also been a struggle for the past many years. The company seems to have captured majority of the delivery market and its blinkit acquisition is also giving it more value in the quick delivery space. Company is definitely on its way to better profits. ✅ One thing however I cannot ignore is the high dependency of the company on strategy, execution and its promoters vision. If any of these things faulted there can be great ramifications. ✅ As a matured investor my strategy is to invest in companies which already have a proven business model with years of Stress testing of the promoters and the company. From a conviction perspective I feel Zomato somehow has not matured to be a listed company for me but is still a start up with still a lot to prove. For me a start up becomes a listed company when it’s not dependent on its promoter for strategy and execution. ✅ I understand that if you miss the bus right now the opportunity may go away however there is one major question which I am asking myself “ What are my conviction levels regarding this stock “ and if the answer is low then I may not invest substantially into it. ✅ So as some of the greatest investors say. It’s not about whether your stock doubled. It’s about the amount of money you had put in the stock when it doubled. ✅ Now I have a question for you. Can you put 5-10% of your portfolio in this stock. If the answer is ‘yes’ then by all means go ahead and invest in it. But if the answer is ‘No’ then don’t touch it at all. ✅ People put small amount of money in multiple stocks and think they will get Rich 🤑. Taking very small calls on stocks is as good as formality. It’s better you don’t get into it in the first place. You waste you time and energy and it amount to nothing. ✅Remember that multiple drops of water make the ocean. If you buy a stock in the market then make it count for something. Focus on it. Research on it. So that your conviction gets higher. Jumping from one stock to another does not lead you anywhere.

Internship Update #1: Why is B2C so Important? Recently, I had the chance to consult with a well-known brand that generates over ₹4000 crore in B2B revenue. While I can’t disclose the brand name, they are a top supplier to Original Equipment Manufacturers (OEMs) across India, especially within the automotive industry. Supplying directly to major OEMs is a huge accomplishment for any brand, and this company is already a trusted partner for some of the biggest names in the country. As a business consultant, I’ve been in talks with their director to explore the benefits of expanding into the business-to-consumer (B2C) market, meaning they would sell directly to individual customers through platforms like Amazon. This shift would allow them to reach consumers through online channels and local distribution networks, leveraging services like Amazon FBA (Fulfillment by Amazon) to ensure fast delivery and efficient logistics. Currently, their online sales make up less than 1% of their total revenue, which is minimal compared to their B2B business. So why are they interested in B2C now? The answer lies in the changes happening across India. With digital penetration at an all-time high, more and more Indian consumers are shopping online, and disposable incomes are rising steadily. This brand wants to be ready to reach these customers directly, knowing that online shopping will only continue to grow. Over the last month, I’ve spent countless hours discussing inventory management, logistics, and distribution strategies with them to support this transition. Expanding into B2C offers a new revenue stream and a closer connection to their customers. As more brands go digital, the B2C model is becoming a strategic move to stay competitive and future-proof. Order book investing can create HUGE GENERATIONAL WEALTH for us. Let’s say a company has 60 Cr revenue and 15 Cr profit (implying a 15/60 = 25% profit margin) . This company has a order book of 100 Cr to be executed in 1 year. Once this year is over, high chance that this company posts 100 Cr in revenue and 25 Cr in PAT (using 25% profit margin). This company will appreciate by 66% or more assuming it is at a reasonable PE (since profit is increasing from 15 Cr to 25 Cr which is a 66% increase in profit). Zomato (and Blinkit) getting into so many new businesses, I hope they take time out to perfect the value chain and #business model for these services one at a time rather than a frenzy of expansion. Learning from the example of Paytm, Zomato's primary services should always make them enough money to cope with the initial losses from additional services. It took Zomato years to become kings of quick commerce and food delivery, i hope they can replicate the success to challenge BookMyShow in India. I guess i should go and order some popcorn from Blinkit
