Mohit Gulati launched ITI GO Fund I worth INR 62 Cr in 2018 in partnership with the Investment Trust of India (ITI). The financial services conglomerate is led by Sudhir V 👇 The fund has performed well in the past five years, investing in 22 startups and returning half the capital to investors. Gulati is working on his next endeavour, ITI Growth Opportunities Fund II, which has a corpus of INR 200 Cr and a greenshoe option of INR 100 Cr. ITI GO Fund I has an IRR of 33% and a DPI ratio of 0.45, while four portfolio companies have seen more than 3x valuation markups. The Fund II has a corpus of INR 200 Cr and a greenshoe option of INR 100 Cr, of which INR 80 Cr has already been raised. While the fund’s core focus areas were consumer internet, healthtech, edtech and the new-age economy, it also invested in aerospace, agritech, fintech, electric vehicles and enterprisetech. India's venture capital (VC) industry is rethinking its fee structure, moving away from the standard “2 and 20” model, where 2% goes to management fees and 20% is taken from profits. As Indian startups face challenges, some investors (called LPs) are pushing for a fee system that better matches India’s unique market. Many believe fees should align more with the type of investments, risks, and stage of the companies funded. For example, high-cost areas like deeptech and fintech could charge higher fees due to longer timelines. There’s been a lot of buzz about the new asset class that SEBI has recently proposed and for good reason. There was definitely a need to fill the gap between the Mutual Funds (MFs) and PMS asset classes as the investors lying in this zone were vulnerable to unregulated market practices. Now with the minimum investment limit of INR 10 lakhs, the investors can take high risk bets in the derivative market through the MF houses which is well regulated and transparent. But one major aspect which will drive participation for the new asset class will be the tax structure. SEBI is open to suggestions till 6th of August after which we will have a clearer picture. The INR 12,864 crore investment in Reliance Retail by Abu Dhabi Investment Authority (ADIA) is only the beginning of wealth creation enabled by Sovereign Wealth Funds(SWFs). Here’s what you need to know about SWFs – SWFs are instrumental in creating wealth for economies and their nationals. SWFs usually invest the state’s surplus revenue in a diverse range of assets to create long-term wealth and economic stability for its citizens. What is interesting is that SWFs are making bold moves, and India has become one of their top destinations. Just last month, ADIA, the largest sovereign wealth fund in the United Arab Emirates(UAE), started operations in India's GIFT City . They have already committed to investing USD 75 billion in Indian projects, including a USD 4-5 billion allocation through the GIFT City. SWFs manage over a staggering USD 12.6 trillion worldwide, and their investments in India can drive growth across industries. My brothers Devang Aggarwal Tanishq Rastogi recently started a kids clothing D2C brand Dave & Tan and while helping them plan their cashflows i created certain mental models for them. Sharing brief synopsis of the same here. There are 4 important components to Working capital: 1. Days Sales Outstanding (DSO), 2. Days Payable Outstanding (DPO), 3. Days Inventory Outstanding (DIO), 4. Gross & Projected working capital DPOs: Number of days in which you pay your vendors. Ideally you should negotiate for longer payable days. If you are a high growth brand your vendor negotiation should be on point since you might be contributing a significant portion of their business and hence have leverage. Add this as a part of KRAs for your category managers and track this monthly. to drive outcome. Best brands are able to gain significant advantage here. Cash-Discount This should be coupled with negotiation for cash discounts as well. For cash-rich brands and for companies having low gross margins this can be significantly bottom line accretive. However a very fine balance is required here and also needs to be looked in conjunction with your cost of capital to avoid harming overall cycle. DIO: Number of days of inventory stored To track financial success for your business this should be one of the north stars. Your capital can get stuck in inventory very quickly before you know it and while you may generate profits on paper but be extremely cashflow negative owing to this. Often companies are very lethargic at recognising dead inventory (this is almost like NPAs for lenders). DIOs should be kept as low as possible in your business. To minimise this create a very clear inventory ageing dashboard with SKU wise ageing tracked and aggressively chase to clear out goods going above your targeted inventory turnover. You can run additional sales, run specific ads on those products, try to liquidate using B2B sellers etc. Another key component is to keep recognising dead inventory ASAP. While this may be counterproductive in the short term - however in the long term this can be significantly helpful for you to keep putting that pressure within the team and on yourself to minimise this to lead to both a healthy bottomline as well as balance sheet. DSOs : For D2C Brands : typically there are 2 primary channels - website & marketplaces like Amazon, Myntra, Zomato, Blinkit etc. While selling on own website typically the DSOs are negligible. For COD orders there might be 7-10 days settlement cycle. For marketplaces the cycle can go upto 45 days. These are typically non-negotiable and hence fixed components. Planning runway : Your runway is your cash-in bank minus the additional working capital required for growth divided by your burn if any. This is extremely critical to track for EBIDTA-negative businesses. Often founders look at cash including working capital to come up with runway which can lead to disaster.

The curious case of Nobroker, the company that began with an intention to remove brokers, then became one. Nobroker's FY 23 financials are out, their operating revenue is up to ₹609 crores, while their losses are ₹506.2 crores (total expenditure is ₹1189 crores). They raised a ₹1752 crore funding round in 2021, the feverish peak of venture idiocy, led by the worst tourist into VC that's ever taken a stroll, Tiger Global. (honestly wish I could have shorted their investments, one made every single day with their DD being conducted by 22 year olds at Bain) Nobroker is piloting a new strategy, becoming a broker. They are offering a success fee based model for finding a tenant for people's flats, effectively becoming a broker. I do enjoy their services (handyman, plumber, AC cleaning) with fairly good folks who come on time, however these numbers are simply shocking. Startups have to remember that they are real businesses, that need to make money. With these kind of losses at scale, it feels like they haven't found product-value fit yet. #startups #founders #venturecapital
