This merger is set to create India's largest media conglomerate of Viacom18 Media Private Limited and Disney Star at a combined valuation of ₹70,000 cr or $8.5 billion. Aside from the lack of clarity regarding overlapping regional channels and operational structure, there are concerns that this merger is dangerously monopolistic in nature, especially in the sports broadcasting sector - Viacom 18 and Disney have exclusive streaming rights for Indian Premier League India and ICC matches respectively. Last year, Disney Hotstar lost an estimated 2.8 million subscribers in Q4, largely owing to a price hike for their streaming subscriptions and Viacom18 taking over IPL streaming rights. With this merger, the duo's pricing power could be largely inelastic, raising the question of how the average consumer will be impacted, particularly in a cricket-obsessed market like India. One97 Communications Limited, the parent company of Paytm, has announced the sale of its entertainment ticketing business to Zomato for ₹2,048 crore in cash. This move aligns with Paytm’s strategic shift to concentrate on its core payments and financial services operations. As part of the agreement, Paytm will transfer its ticketing operations to its wholly-owned subsidiaries—Orbgen Technologies, which operates TicketNew, and Wasteland Entertainment, which manages Insider Platform. Zomato will acquire a 100% stake in these subsidiaries on a cash-free, debt-free basis. Approximately 280 employees from the entertainment ticketing division will transition to Zomato as part of this deal. During a transition period of up to 12 months, users will still be able to purchase movie and event tickets via the Paytm app, as well as on TicketNew and Insider platforms. In FY24, Paytm’s entertainment ticketing business achieved a gross order value (GOV) of over ₹2,000 crore, representing a 29% year-over-year growth, with 78 million tickets sold to over 10 million unique customers, according to Zomato. Zomato CEO Deepinder Goyal stated, "We anticipate robust growth in going-out experiences over the next decade. This acquisition will help us scale further and offer new services like movie and sports ticketing to our customers." A Paytm spokesperson added, "This transaction allows us to focus on long-term growth in our core areas and enhance value for all stakeholders." Paytm expects to finalize the transaction within this quarter.
