We are pleased to represent Harel in its strategic going private acquisition of Gamla Harel Residential Real Estate Ltd., a public company traded on the Tel Aviv Stock Exchange, through a reverse triangular merger. Gamla provides financing to real estate developers. Under the transaction, a wholly owned subsidiary of Harel, purchased all shares of Gamla through a reverse triangular merger in consideration for approximately NIS 560 million. This acquisition strengthens Harel's position in the real estate financing sector while providing Gamla with significant growth opportunities under new ownership of one of Israel’s leading financial institutions. Our firm's team, led by partners Avraham Well and Zohar Liss, together with associates Gal Goldstein, Roie Kiselevich and Hagar Sasson, and the intern Yuval Goldstein, successfully represented Harel throughout all stages of the transaction, including due diligence, negotiation and closing of the merger agreement. Last week (December 12, 2024), we were pleased to host the Tech Chess meetup - the Israeli high-tech sector’s chess community. Galai Sharir, a partner in our High-Tech, Technology, and Venture Capital practice, and a candidate master in chess(!), chaired the event together with Alon Mindlin, an international chess master and former Israeli U20 champion, who leads the Israeli High-Tech Chess Championships. The tournament featured 100 talented chess players from a variety of Israeli and international high-tech companies. We decided to dedicate the event to the memory of the fallen Major Yehuda Natan Cohen, a company commander in Sayeret Givati, a gifted chess player, and a brave and humane officer, who was killed in action in Gaza on November 3rd, 2023. May his memory be a blessing. It was intense and challenging - see you at the next meetup!

We were pleased to host an ICC YAAF (Young Arbitration and ADR Forum) conference on "International Dispute Resolution in Israel - Growth and Development in Specialization" (December 15, 2024), organized by our firm and led by Nadav Klein, associate in our Litigation practice, and a regional ICC YAAF representative. During the conference, we addressed, among other topics, the new legal landscape in Israel following the enactment of the International Commercial Arbitration Law and discussed the enforcement of arbitration agreements in Israel before and after the law's enactment. Raz Tepper, M&A partner and co-head of the Hi-Tech, Technology, and Venture Capital practice at our firm, was interviewed by 'Globes' in light of the dramatic decision by the International Criminal Court in The Hague to issue warrants against Prime Minister Benjamin Netanyahu and former Defense Minister Yoav Galant due to the war in Gaza. Raz, who represents multinational companies in acquisitions and investments in Israel, describes the issuance of the warrants as a further development in a series of events that challenge Israel's standing and, by extension, impact Israeli companies. In his words, "Over the past year, we have observed increasing concerns from multinational companies regarding investments in Israel. Companies, particularly those that are publicly traded or dependent on public funds, are wary of potential negative reactions in affiliation with Israel, which resulted in abandoning of opportunities and potential transactions. Despite the challenging situation, I anticipate that as risk factors decrease and investors’ certainty increases when Israel moves towards resolution and ending of the war, the business climate will improve, leading to a ‘return to normal’ business activity."
