Over the last 15 years investing, I have seen entrepreneurs make the same mistake over and over again. What is it? Hiring a VP Sales too early, hoping that magically it will start selling. The truth is that founders (CEO mainly) will need to sell the first $10M. Common mistakes? - Not having sold anything and hiring - Bringing a corporate guy not a hustler with startup mindset. - Not having a playbook validated before hiring. You have to have fought yourself to figure out how to sell before hiring. - No PMF - No team to execute for the VP sales to manage - No proper CRM and Metrics. Ultra-low latency, natural-sounding conversations that flow more like human-to-human interactions. 💥Entrepreneurs SAFE notes can be UNSAFE and a time bomb!!! ☠️💣 💥 Hear me out. First let me explain what SAFEs are and why they are good when used appropriately. SAFEs (Simple Agreements for Future Equity) dominate early-stage fundraising, making up 89% of pre-seed deals in Q4 2023. If you’re raising capital, it’s essential to master how SAFEs work. Here are things to consider: Four Major 𝗧𝘆𝗽𝗲𝘀 𝗼𝗳 𝗦𝗔𝗙𝗘𝘀: 1️⃣ Fixed Conversion at a Future Date 2️⃣ Valuation Cap, No Discount 3️⃣ Discount, No Valuation Cap 4️⃣ Valuation Cap & Discount 𝗘𝘅𝗮𝗺𝗽𝗹𝗲: Investor contributes $50K with a $6M Valuation Cap and a 15% Discount: Next round Pre-money valuation: $12M Share price: $12M / 3M shares = $4/share Option 1️⃣ (Discount): Price after discount = $4 × (1 - 15%) = $3.40/share Shares issued = $50,000 / $3.40 = 14,706 shares Option 2️⃣ (Valuation Cap): Price = $4 × ($6M cap / $12M valuation) = $2/share Shares issued = $50,000 / $2 = 25,000 shares Result: The SAFE investor opts for the Valuation Cap, receiving 25,000 shares vs. 14,706 shares. If your SAFE has both, the investor will convert at the best of both. 𝗣𝗿𝗮𝗰𝘁𝗶𝗰𝗮𝗹 𝗧𝗮𝗸𝗲𝗮𝘄𝗮𝘆𝘀: Simplicity wins: SAFEs excel at accelerating fundraising. Avoid over-complicating the process and depending on the type avoid even negotiating certain terms. SO WHY IS IT DANGEROUS??? 💥 Well because it complicates things in the next round. If you begin to stack several SAFEs with same or different terms the company may become unfundable. The next investor will not be able to easily calculate their equity stake if they invest, this is bad, simplicity is king. Also, depending on the valuation the SAFEs will convert in the next round and may make the equity percentage available for new investors limited or too dilutive for founders.
