Herter & Co. - A Teneo company - advises Rivean Capital on the leveraged buy-out of PERBILITY GmbH from existing majority shareholder Main Capital Partners. Founded in 2009 and headquartered in Bamberg, Germany, Perbility is one of the leading providers of comprehensive and cloud-native human capital management (HCM) software, covering the entire HCM value chain, including talent acquisition, core HR, organizational planning, talent management, employee experience and engagement, and administrative digitization. The new partnership intends to accelerate the company’s up- and cross-selling efforts across its existing customer base, while further expanding its comprehensive HCM suite – the HELIX platform – with new modules. Under Rivean Capital’s ownership, Perbility plans to strengthen its organizational capabilities, especially its sales team, which will enable the company to expand its reach into the (semi-)public and B2B markets and pursue geographic expansion within the DACH region. Herter & Co. coordinated a high-paced, competitive process and structured an overall financing package of c. €100m which was ultimately underwritten by Bridgepoint Credit, the alternative asset fund management group. The financing package includes a unitranche facility as well as committed add-on acquisition facilities to support the group’s organic and inorganic growth going forward. “Herter & Co. successfully executed a strategy which provided us with a very attractive financing package ahead of the ambitious timetable, which gave us an important advantage in the auction process. As usual, the highly involved and strongly engaged workflow at Herter & Co. allowed us to focus on the due diligence and negotiations with the sellers and management,” says Matthias Wilcken, Senior Partner at Rivean Capital. Herter & Co. is acting as Sole Debt Advisor to Rivean Capital on this transaction. The transaction is currently pending anti-trust approvals. Herter & Co. is a Teneo Company. Last week, I had the pleasure of giving an interview to Capital Magazin, where I highlighted the expected shifts in the U.S. tax landscape following the recent U.S. election. Tax changes are expected under Donald Trump's presidency. The US is likely to intensify its existing protectionism, which could result in, among other things, higher tariffs on imports. Trump plans to increase tariffs on imports to 10-20% and on Chinese goods to over 60%. At the same time, Trump plans to deregulate regulations for companies and potentially further reduce the corporate tax rate, initially from 21% to 20% and possibly to as low as 15% for companies manufacturing in the US. These changes would particularly benefit companies based in the US, but less so companies that only export to the US. Increasing M&A activity is influencing the German #consulting market – this is one of the key findings of the recently published 𝗟ü𝗻𝗲𝗻𝗱𝗼𝗻𝗸 𝗕𝘂𝘀𝗶𝗻𝗲𝘀𝘀 𝗖𝗼𝗻𝘀𝘂𝗹𝘁𝗶𝗻𝗴 𝗟𝗶𝘀𝘁.   🔗 The #Lünendonk List of the Top 20 leading #businessconsulting companies in Germany is available for free download at: https://lnkd.in/dpdgyRch   📈 The Top 20 German consultancies grew by 12.5 per cent in 2023, international consultancies by 8.4 per cent. According to the German Association of Management Consultancies (Bundesverband Deutscher Unternehmensberatungen (BDU) e. V.), the German management #consultancy market grew to €46.7 billion in 2023 (+6.9%; 2022: €43.7 billion).   𝗔𝘁 𝗮 𝗴𝗹𝗮𝗻𝗰𝗲: 𝘁𝗵𝗲 𝗧𝗼𝗽 𝟱 𝗼𝗳 𝘁𝗵𝗲 𝗚𝗲𝗿𝗺𝗮𝗻 𝗰𝗼𝗻𝘀𝘂𝗹𝘁𝗮𝗻𝗰𝗶𝗲𝘀 📍 Roland Berger continues to head the Lünendonk List of German business consultancies by a notable margin. Total revenues here rose by 14.9 per cent to precisely 1 billion euros. 📍 Simon-Kucher retains second place with total revenues of 540.5 million euros. Growth at the firm is comparatively low at one per cent. 📍 Taking third spot among German management consultancies this year is Horváth, with revenues of 306.0 million euros (+13.3%). 📍 Porsche Consulting follows close behind, its sales for the first time surpassing €300 million (€304.6 million; +12.4%). 📍 d-fine also achieved above-average growth of 20.1 per cent and ranks fifth on 266.2 million euros.   The German consulting market continues to be dominated by international consulting companies with a range of service offerings.
