📢 BOI Reporting: Do US Expats with Foreign Companies Need to Comply? Current Status: A federal ruling has temporarily blocked enforcement of Beneficial Ownership Information (BOI) reporting under the Corporate Transparency Act (CTA). But don’t let this delay fool you; compliance could still be required soon, so it’s important to stay informed. What is BOI Reporting? BOI reporting requires certain entities, including domestic and foreign companies registered to do business in the US, to disclose information about their beneficial owners to the Financial Crimes Enforcement Network (FinCEN). This is part of the government’s effort to combat money laundering and increase corporate transparency. Do US Expats with Foreign Companies Need to Comply? For US citizens managing foreign companies, the rules may apply if: 👉 Your foreign company is registered to do business in the US. 👉 You hold a beneficial ownership stake in a domestic or foreign entity. Entities exempt from reporting include publicly traded companies, certain large operating entities, and specific non-profits, but most small businesses and LLCs will need to comply. Why Does This Matter? If reinstated, non-compliance could result in severe penalties, including fines of up to $500 per day and potential criminal charges. As a US expat managing cross-border business interests, understanding these requirements is critical to staying compliant. 💡 The Bottom Line: Even with the current enforcement block, the BOI reporting requirements could soon be reinstated.
