Anfield Energy Inc. Announces Shareholder Approval of Plan of Arrangement Anfield Energy Inc. has announced that shareholders have approved the proposed plan of arrangement with IsoEnergy Ltd. during a special meeting held on December 3, 2024. Ovintiv Strengthens Portfolio with Core Oil-Rich Montney Asset Acquisition - Ovintiv has reached an agreement to acquire approximately 109,000 net acres and 70 MBOE/d of production in the Alberta Montney for $2.377 billion. - The acquisition will provide about 900 total net well locations and extend the premium Montney oil and condensate inventory life to approximately 15 years. - Enhanced midstream and downstream infrastructure access will allow for future oil growth. - Ovintiv has also agreed to sell its Uinta Basin assets for approximately $2.0 billion. - The combined transactions are expected to increase Non-GAAP Free Cash Flow by about $300 million in 2025. - Estimated annual cost synergies from these transactions are roughly $125 million. - The Company plans to maintain its investment-grade balance sheet and expects affirmations from ratings agencies. - As of October 31, 2024, Non-GAAP Net Debt stands at about $5.65 billion. - The Montney acquisition is set to be funded with cash proceeds from the Uinta asset sale and other financial means. - The share buyback program has been paused until the temporary financing is recovered, with a resumption expected in the second quarter of 2025. - Following the transactions, Ovintiv's portfolio will be focused on Montney and Permian assets, supported by strong cash flows from low-decline properties. - The pending asset acquisitions will allow Ovintiv to run an average of three rigs in the Montney and five in the Permian in 2025. - The effective date for these transactions is October 1, 2024, with expected closure by the end of the first quarter of 2025. - Financial advisors for the transactions include J.P. An analysis by Alberta's Progress Report finds that Alberta Investment Management Corporation (AIMCo), which manages the province's public pensions, has a private holding company named Seibu Investments that is being used to mitigate losses in a now-bankrupt junior oil and gas company and an oilfield services company. Two directors of Seibu Investments are AIMCo employees. These high-risk AIMCo investments include Razor Energy, a junior oil and gas company that AIMCo had been invested in since 2017. Razor has been in bankruptcy protection since January 2024. After Razor was unable to repay debts to AIMCo, the provincial pension manager became the 70% owner of FutEra Power, a Razor subsidiary. FutEra’s only asset is a 21-megawatt combined gas and geothermal power plant that cost $49 million to build and started operating in 2023. “I’d call it shadowy. While this stuff is technical public nobody really knows about it. You’ve got to plow through bankruptcy court proceedings to find out about this move by AIMCo to purchase these Razor assets,” said Greg Meeker, the former chair of the Alberta Teachers’ Retirement Fund and an expert on pension governance. “They’re trying to mitigate any losses. That’s what this holding company is all about. That's what these debt to equity swaps are all about. It’s all about mitigating losses for companies that were marginal investments to begin with. They knew that Razor was a sketchy play to begin with." The only other public transaction that Seibu Investments has taken part in was in 2022, when AIMCo converted $100 million of debt into 49.7% ownership of Western Energy Services. AIMCo converted Western Energy Services’ debt into equity after the company missed multiple deadlines on paying the interest on AIMCo’s loans. The latest annual information form for Western Energy Services notes that AIMCo’s large holdings in the company constitute a “significant financial risk.” The document notes that there is no assurance that the interests of AIMCo will align with the interests of the corporation, and further, the large holdings of AIMCo in the company may impact the liquidity of the company’s shares. Western Energy Services latest audited financial reports show that the company still owes AIMCo $99 million, with that loan coming due in May 2026.  AIMCo's investments in Razor Energy and Western Energy Services originate with the Alberta Growth Mandate, a provincial government initiative that saw AIMCo invest millions of dollars in marginal junior oil and gas companies that had billions of dollars worth of environmental cleanup liabilities on their books. “I think the board is under informed about the disasters from the Alberta Growth Mandate,” said Bob Ascah, a former vice-president at Alberta Treasury Board and a Parkland Institute research fellow. "The rot seems to be deep at AIMCo."

Enbridge is telling investors that it plans to expand its Mainline pipeline network to transport even more crude oil by 2026 or 2027. Pension funds claim they must stay invested in order to "engage" North America's largest pipeline company. Dan Fong, our Head of Research and Energy Analyst, was on BNN Bloomberg with Andrew Bell to discuss his recent upgrade to BUY for Suncor Energy Inc. "Prior to our upgrade, what we were looking at was a company that had already made a lot of financial and operational gains. We thought they were ahead of schedule on their turnaround, and we thought the stock was reflecting full and fair value," Dan said. "Fast forward to Q3 earnings, they blew expectations right out of the water. Almost on every single measure, they excelled, and we're becoming increasingly confident there is more room to run here." Dan discussed how the company has focused on the fundamentals, which are safety, reliability, and costs, and how this has flowed through to more capacity, production, and higher profits. Safety has tangible benefits for shareholders, beyond the obvious benefits to workers. "When you have higher safety, you maintain those assets at a higher level. You run them higher. Hereditary Chiefs of the Wet’suwet’en call on investors to deny debt to largest Canadian corporate bond EVER, up to $4bill, issued by TC Energy to fund Coastal Gaslink Pipeline Ltd. This bond, officially announced yesterday, will finance the massive debt incurred by the 670 km gas pipeline, owned by KKR, Alberta Investment Management Corporation (AIMCo) and TC Energy. The banks underwriting the deal include RBC, Bank of America, CIBC and BMO. Coastal GasLink has been built without the consent of hereditary leaders in many of the territories it crosses. It is only through heavy militarised and often violent support from the federal Canadian police that this pipeline has been built. It has been subject to several reports by the UN Special Rapporteur on the Rights of Indigenous Peoples, José Francisco Calí Tzay. The pipeline has suffered numerous regulatory infractions, and faced significant cost overruns and delays. Investors have a responsibility to ensure returns are not generated through violating human rights, polluting the air and water of communities, or contributing to increasing climate-heating emissions. In addition to the obvious reputational and climate risks of continuing to fund expansion of this controversial project, they should consider the financial risk of investing in a project with a history of delays, ballooning budgets, operating without consent and and likely facing a future stranded asset risk. https://lnkd.in/gabbnATE

Clear policy direction on the role of natural gas and lower-carbon fuels in Ontario’s energy system is critical to provide clarity to utilities, regulators, investors, and customers, said Heidi Bredenholler-Prasad, Vice President Commercial, Strategy, and Business Development at Enbridge Gas. She was speaking at the Canadian Gas Association’s Energy Nexus Conference as part of a panel entitled “Regulating Tomorrow: The Future of Gas Energy Regulation.” Bredenholler-Prasad said, “Our industry needs an efficient regulatory process where we can have certainty that we can deliver energy projects to support housing growth and economic growth.” She added it’s important the economic regulator protects customers from risk, not progress, as companies make advancements and investments in energy infrastructure and technologies.
