WELL is pleased to announce the creation of WELLSTAR Technologies Corp., a reorganization of WELL’s established WELL Provider Solutions Group. WELLSTAR aims to be the leading provider of healthcare technology solutions in Canada. WELLSTAR is a high-growth, profitable SaaS healthcare technology company supporting over 37,000 healthcare providers across Canada with technology and services that enhance patient care. To support its growth, WELLSTAR secured $50.4M in equity funding from Mawer Investment Management, EdgePoint Wealth Management, PenderFund Capital Management, along with participation from WELL and WELLSTAR management, to fund its pre-spinout growth objectives. WELLSTAR also acquired two healthcare technology companies, projecting 2025 proforma revenue to exceed $70M with 20% EBITDA margins. This investment values WELLSTAR at a pre-financing enterprise value of approximately $285M. WELL has completed the acquisition of the Canadian clinical assets of Jack Nathan Medical Corp. The transaction includes 13 owned and operated primary care clinics across 10 Canadian cities, generating over $9 million in revenue over the past 12 months, as well as 59 licensee clinics now operating under WELL's new Affiliate Clinic business model, contributing $2.2 million annually in high-margin revenue. The acquired clinics will be rebranded as WELL Health Medical Centres, reflecting WELL's tech-enabled approach to delivering quality healthcare. Additionally, WELL has entered into various agreements with Walmart Canada that provide a framework to support the potential expansion of WELL's clinical network within Walmart Canada's footprint of over 400 locations over time.
