Peak Rare Earths has been listed on the Australian Stock Exchange (ASX:PEK) since November 2006, with its headquarters in Perth, Australia. Peak Resources is also developing the Ngualla Rare Earth Project in southern Tanzania. Peak has rapidly progressed Ngualla from virgin exploration discovery in August 2010 to its current status of one of the largest and highest grade rare earth deposits in the world.

We’re pleased to announce that Peak Rare Earths has received firm commitments for a $6 million two-tranche institutional placement aimed at progressing the journey of our Ngualla Project towards a Final Investment Decision. Tranche 1 of the placement has raised approximately $4 million, with an additional $2 million anticipated from a conditional Tranche 2. We’re also pleased to share that our largest shareholder, Shenghe, has committed to increase its stake to 19.9% through the Tranche 2 investment, subject to regulatory and shareholder approval. In addition to welcoming our new investors, we’re offering existing eligible shareholders the opportunity to participate at the same placement price through the upcoming Share Purchase Plan. This initiative is expected to raise up to $2 million and will provide our shareholders with a chance to participate. The funds raised will primarily support transaction costs related to the finalisation of our proposed investment, funding and development agreement with Shenghe. Additionally, this capital will help advance the Ngualla Project to a Final Investment Decision. We are pleased to announce the release of our 2024 Annual Report, which reflects a year of significant achievements and strategic developments for Peak Rare Earths. Our, Executive Chairman, Dr Russell Scrimshaw AM highlighted the resilience of Peak during a period of short-term pricing challenges in the rare earths market. Despite these fluctuations, we made substantial progress on the Ngualla Project in Tanzania. Our landmark agreement with Shenghe Resources is pivotal for advancing the project and is expected to facilitate a final investment decision by late 2024. Our Ngualla Project is now positioned as the most advanced rare earth development project globally. The completion of our Front-End Engineering and Design Study has further de-risked the project, reaffirming its world-class status while identifying lower capital and operating costs. The binding offtake agreement with Shenghe provides a fully funded solution for the project’s development, eliminating the need for additional equity financing from Peak. Moreover, we are optimistic about the potential to develop additional critical mineral projects within our Special Mining Licence area. We are pleased to share our Annual Report for the year ending 30 June 2024. Over the past 12 months, we have made substantial progress in advancing the pre-development and commercialisation of the Ngualla Project in Tanzania. Key highlights include the signing of a non-binding Funding and Development Term Sheet with Shenghe and the execution of a binding offtake agreement. We have also signed a non-binding strategic EPC and funding MOU for the project. Further achievements include the signing of a non-binding Debt Term Sheet supporting US$176.6 million of debt, the completion of a Front-End Engineering and Design Study, and the initiation of a Cost and Optimisation Study. We have advanced our critical minerals exploration program, which confirmed widespread and high-grade mineralisation of phosphate, fluorspar, niobium and rare earths. In addition, we expanded the Ngualla Project Special Mining Licence area from approximately 18km² to 51km², signed a non-binding MOU with Minjingu Mines and Fertiliser for the future supply of phosphate, and acquired freehold title for the Teesside industrial land site, initiating a sale process for the property.
